Artist Music Network (“we,” “us,” “our,” or “Platform”) provides you with access to our comprehensive networking platform located at www.artistmusicnetwork.com (the “Website”) and all services, content, features, and functionality provided thereon (collectively, the “Services”).

By accessing, browsing, or using the Website and Services, you signify that you have read, understand, and agree to be bound by these Terms of Use (“Terms” or “Agreement”), along with all other Artist Music Network policies published on the Website, including but not limited to our Privacy Policy. If you do not agree to these Terms, do not access or use the Website or Services.

1. General Terms and Eligibility

1.1 Authorization to Use the Platform You are authorized to use the Website and Services only if you comply with these Terms and all applicable federal, state, and local laws. Artist Music Network reserves the right to modify these Terms at any time by posting a revised version on the Website. Your continued use of the Website and Services after any such modification constitutes your acceptance of the revised Terms.

1.2 Eligibility Requirements You must be at least 18 years of age to create an account and use the Services. By creating an account, you represent and warrant that you are at least 18 years old, of legal age in your jurisdiction, and possess the legal authority to enter into this Agreement. The Platform is currently available to users in the United States only.

1.3 Artist-Only Platform (Currently) For the current phase of the Platform, membership is restricted to emerging musicians and recording artists (“Artists”). We define Artists as individuals currently pursuing a music career, with or without prior commercial release. In future phases, we may expand access to industry professionals, venue operators, and other music industry stakeholders. Your account type and access level will be determined at registration and may change as the Platform evolves.

2. User Account Creation and Responsibilities

2.1 Registration Requirements To access the Services, you must create an account with accurate, complete, and current information. You represent and warrant that:

• All information you provide during registration is truthful, accurate, and complete
• You will maintain and promptly update your contact information to ensure Artist Music Network can communicate with you
• You have the legal right to bind yourself to this Agreement
• If you are registering on behalf of an organization or entity, you are authorized to represent that entity and legally bind it to this Agreement

2.2 Account Security You are solely responsible for maintaining the confidentiality of your login credentials, including your username and password. You agree to accept responsibility for all activities that occur under your account. You must notify Artist Music Network immediately of any unauthorized access to your account or any other breach of security. Artist Music Network is not liable for any loss or damage arising from unauthorized use of your account.

2.3 Account Termination by User You may terminate your account at any time by contacting Artist Music Network via email or through your account settings. Upon termination, all of your content will be removed from the Platform as outlined in Section 6.

3. Services Provided

3.1 Scope of Services Artist Music Network provides a comprehensive platform that includes, but is not limited to:

• Direct networking access to verified music industry professionals, including radio programmers, Spotify editors, playlist curators, venue bookers, and press contacts
• Weekly forums and networking events featuring live interaction with industry decision-makers
• Editorial content through our magazine featuring interviews with industry professionals, artist development advice, and market insights
• Professional service provider directory and connections
• Digital and physical products, including educational resources and industry reports (available for purchase)

3.2 Subscription Models Artist Music Network offers tiered membership subscription plans. Details regarding pricing, features, and renewal terms are provided at the time of purchase and may be updated at our discretion. Subscription tiers may include limited-time trial periods. By purchasing a subscription, you authorize Artist Music Network to charge your payment method for the applicable fee(s).

3.3 No Guarantees of Results Artist Music Network does not guarantee that your use of the Platform will result in any specific outcome, including but not limited to: radio airplay, playlist placement, media coverage, booking opportunities, or record deals. We provide access to industry professionals and resources; however, all outcomes depend on the quality of your music, your professional approach, and the subjective decisions of industry gatekeepers. We are transparent about industry barriers: industry statistics show that less than 1% of submissions receive airplay or playlist placement through traditional channels.

4. Artist Content Rights and Responsibilities

4.1 Content Ownership by Artist You retain all rights to any original creative work you produce (your music, recorded performances, original artwork, and original writing). However, all information, materials, and content you provide to Artist Music Network for your artist profile, including but not limited to your biography, photographs, music samples, links to streaming services, genre categorization, and any other descriptive or promotional information (collectively, “Artist Content”), are governed by this Section 4.

4.2 Grant of Rights to Artist Music Network By uploading or submitting Artist Content to the Platform, you grant to Artist Music Network an irrevocable, perpetual, worldwide, royalty-free, fully paid-up license to:

• Display, reproduce, and distribute your Artist Content on the Platform
• Share your Artist Content with verified industry professionals who are users of the Platform
• Modify, edit, adapt, or revise your Artist Content for publication and presentation on the Platform
• Reproduce your Artist Content in our magazine and editorial content
• Syndicate your Artist Content and related articles featuring you to third-party publications, including Billboard, Pollstar, Music Business Worldwide, Variety, and other music industry publications
• Use your Artist Content in promotional and marketing materials for Artist Music Network
• Create derivative works from your Artist Content in connection with the Platform’s services

4.3 Artist Representations Regarding Content You represent and warrant that:

• You own or have the right to license all Artist Content you provide
• Your Artist Content does not infringe any intellectual property rights of any third party
• You have obtained all necessary rights and permissions to provide your Artist Content to Artist Music Network
• All information in your Artist Content is accurate and not misleading

4.4 Content Notification but No Approval Rights Artist Music Network will notify you when your Artist Content will be featured in magazine articles or syndicated to third-party publications. However, you do not have the right to approve, reject, or modify the content after notification. Final editorial decisions rest with Artist Music Network.

4.5 Content Removal Upon Account Termination If you terminate your account, Artist Music Network will remove your Artist Content from active display on the Platform and will not create new syndication arrangements. However, Artist Content that has already been syndicated to third-party publications or republished in our magazine archives may remain on those platforms and cannot be removed by Artist Music Network.

5. Magazine Content and Editorial

5.1 Ownership of Magazine Content All editorial content published in the Artist Music Network magazine, including but not limited to articles, interviews, analysis, graphics, and photographs created by Artist Music Network’s editorial team, guest contributors, or industry professionals, is the sole property of Artist Music Network. We own all rights, title, and interest in this content.

5.2 Syndication Rights Artist Music Network retains the exclusive right to syndicate, license, and republish magazine content to third-party publications, including but not limited to Billboard, Pollstar, Music Business Worldwide, Variety, and other music industry media outlets. Syndication partners may license non-exclusive republication rights to our content. Artist Music Network retains ownership and the right to negotiate licensing fees from syndication partners. All syndication arrangements include attribution to Artist Music Network.

5.3 Acceptable Use of Magazine Content You may read, view, and share magazine content for personal, non-commercial purposes. You may not reproduce, distribute, modify, or create derivative works from magazine content without Artist Music Network’s express written permission. All magazine content remains the property of Artist Music Network or our content contributors.

6. General Content and Intellectual Property

6.1 Platform Content Ownership All content on the Website and Platform, including but not limited to text, graphics, photographs, designs, information, software, audio files, video files, trademarks, service marks, logos, and the presentation and arrangement of all materials (collectively, “Platform Content”), is the exclusive property of Artist Music Network or its content licensors, except for Artist Content which is governed by Section 4.

6.2 Limited License Subject to these Terms, Artist Music Network grants you a limited, non-exclusive, non-transferable license to access the Platform Content solely for your personal, non-commercial use in connection with using the Platform. You may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, or create derivative works from any Platform Content without the express written permission of Artist Music Network.

6.3 Intellectual Property Rights Artist Music Network reserves all intellectual property rights in the Platform, including all trademarks, service marks, logos, and trade names. These marks may not be reprinted, distributed, displayed, or used without Artist Music Network’s express written permission. Unauthorized use may violate trademark and copyright laws.

7. Prohibited Conduct

You agree that you will not:

• Use the Platform for any unlawful purpose or in violation of any applicable laws or regulations
• Engage in harassment, threats, abuse, or discriminatory conduct toward any other user, industry professional, or Artist Music Network staff
• Misrepresent your identity, credentials, music, or professional background
• Impersonate any person or entity, including industry professionals or Artist Music Network staff
• Upload, post, or transmit content that is unlawful, defamatory, obscene, or otherwise offensive
• Violate the intellectual property rights of any third party
• Sell, trade, or share your login credentials with any other person
• Attempt to bypass payment systems or access controls
• Use the Platform for spam, advertising, or solicitation of other users
• Use the Platform for multi-level marketing schemes, cryptocurrency schemes, or other fraudulent activities
• Circumvent industry professional contact information obtained through the Platform to solicit or contact them outside the Platform
• Share industry professional contact information with other users or outside parties
• Make false or fraudulent claims about your interactions with industry professionals
• Attempt to attack, hack, or disrupt the Platform’s technical infrastructure

8. Non-Circumvention Agreement

8.1 Non-Circumvention Clause You agree that contact information for industry professionals obtained through the Artist Music Network Platform is provided solely for use within the Platform’s networking ecosystem. You agree not to circumvent the Platform by:

• Contacting industry professionals directly outside of the Platform using information obtained through Artist Music Network
• Sharing or selling industry professional contact information to other individuals or organizations
• Attempting to establish a direct relationship with an industry professional to bypass future use of the Platform

8.2 Enforcement Violation of this non-circumvention clause will result in immediate account suspension or termination and may subject you to legal action and damages. Artist Music Network reserves the right to pursue remedies against any user who violates this provision.

8.3 Professional Ethics We expect all users to approach industry professionals with professionalism and respect. Industry professionals on the Platform have consented to be contacted within our ecosystem. Circumventing the Platform violates this consent and damages relationships between emerging artists and the broader music industry.

9. Verification of Industry Professionals

9.1 Vetting Process Artist Music Network implements a vetting process for all industry professionals, service providers, and vendors who join the Platform. However, we do not guarantee that all professionals on the Platform are legitimate or that they will conduct themselves ethically or professionally.

9.2 Fraud or Scam Reports If you believe that an industry professional or service provider on the Platform is engaging in fraudulent, deceptive, or scam behavior, you must report it to Artist Music Network immediately. We will conduct an investigation. If the investigation confirms fraudulent conduct, we will remove the bad actor from the Platform. However, Artist Music Network assumes no liability for any interactions between users and industry professionals.

9.3 No Liability for Third-Party Conduct Artist Music Network is not responsible for the conduct, reliability, or trustworthiness of any industry professional, vendor, or third party on the Platform. You interact with all third parties at your own risk. Before sending money, sharing sensitive information, or entering into any agreement with an industry professional, conduct your own due diligence and verify their legitimacy through independent means.

10. Subscription Billing and Payment

10.1 Payment Authorization By purchasing a subscription or product from Artist Music Network, you authorize us to charge your designated payment method (credit card, debit card, or other accepted payment form) for the purchase price. You represent that you are the authorized user of the payment method and that the information you provide is accurate.

10.2 Subscription Renewal Unless you cancel before the renewal date, subscriptions will automatically renew and we will charge your payment method for the renewal subscription fee. You may cancel your subscription at any time through your account settings or by contacting Artist Music Network support.

10.3 Non-Payment Consequences If payment for your subscription fails or remains unpaid:

• You will receive a notification of the failed payment
• You will have 14 days to make payment or cancel your subscription
• If payment is not received within 14 days, your artist profile will be hidden from the Platform and you will lose access to all Services
• After 60 days of non-payment and non-cancellation, your account and artist profile will be permanently removed
• You will receive email notification of the permanent removal

10.4 No Refunds All subscription and product purchases are final. Artist Music Network does not offer refunds for subscriptions or products once purchased, except as required by applicable law. If you believe you have been charged in error, contact Artist Music Network support within 30 days of the charge.

10.5 Pricing Changes Artist Music Network reserves the right to change subscription pricing and features at any time. We will provide advance notice of material changes. Continued use of the Platform after pricing changes constitutes acceptance of the new pricing.

11. Account Suspension and Termination

11.1 Grounds for Termination Artist Music Network reserves the right to immediately suspend or terminate your account, access to the Platform, and all Services without notice if you:

• Violate any term of this Agreement in any material way
• Engage in harassment, threats, or abusive conduct toward any user or staff member
• Violate the non-circumvention clause by attempting to contact industry professionals outside the Platform
• Engage in spam, fraud, or deceptive practices
• Impersonate any person or entity
• Misrepresent your credentials, music catalog, or professional background
• Upload content that violates intellectual property rights of third parties
• Attempt to access the Platform through unauthorized means or disrupt its technical infrastructure
• Make false claims about your interactions with industry professionals
• Violate applicable laws or regulations

11.2 Account Suspension Process For non-serious violations, Artist Music Network may issue a warning before suspension. For serious violations listed in Section 11.1, immediate termination without notice is permitted. If we suspend your account, you will lose access to the Platform and all Services. Suspended accounts may result in permanent removal of your artist profile.

11.3 Dispute Handling and Appeals If you believe your account was suspended or terminated in error, you may appeal to Artist Music Network support within 30 days of the suspension/termination notice. We will conduct a review of your appeal. However, Artist Music Network reserves the right to make final decisions regarding account enforcement.

12. Limitation of Liability

12.1 AS-IS Disclaimer YOU ACKNOWLEDGE AND AGREE THAT YOUR USE OF THE WEBSITE, SERVICES, AND ALL PLATFORM CONTENT IS PROVIDED “AS-IS” AND “AS AVAILABLE.” ARTIST MUSIC NETWORK MAKES NO EXPRESS OR IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

12.2 No Warranty of Uninterrupted Access Artist Music Network does not warrant that:

• Your access to the Platform will be uninterrupted, error-free, or completely secure
• All defects will be corrected
• Data stored on the Platform will be secure, protected from loss, or not otherwise damaged
• Your use of the Platform will result in any specific business outcome

12.3 Assumption of Risk – Industry Professionals You acknowledge and assume the risk that:

• Industry professionals may not respond to your outreach
• Connections made through the Platform may not result in any benefit to your music career
• The Platform does not guarantee the accuracy or completeness of industry professional contact information

12.4 No Liability for Third-Party Conduct Artist Music Network is NOT LIABLE for any claims, damages, or losses arising from:

• Failed connections between you and industry professionals
• Inaccurate, fraudulent, or deceptive conduct by industry professionals or third parties
• Loss or damage to your Artist Content, music files, or personal data
• Unauthorized access to or alteration of your account
• Any claim by a third party against you related to your use of the Platform

12.5 Cap on Liability IN NO EVENT SHALL ARTIST MUSIC NETWORK BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, OR LOSS OF USE, EVEN IF ARTIST MUSIC NETWORK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL ARTIST MUSIC NETWORK’S TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE TOTAL AMOUNT OF SUBSCRIPTION FEES YOU HAVE PAID TO ARTIST MUSIC NETWORK IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12.6 Jurisdictional Limitations Some jurisdictions do not allow the exclusion or limitation of certain damages. To the extent applicable law limits or prohibits these limitations, this liability limitation shall be amended solely to the extent necessary to comply with applicable law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Artist Music Network, its directors, officers, employees, agents, representatives, and contractors from and against any and all third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your violation of these Terms, (b) your violation of any applicable law or regulation, (c) your use of the Platform or Services, (d) your Artist Content, (e) your unauthorized access to or use of the Platform, or (f) any claim that your Artist Content infringes the intellectual property rights of any third party.

14. Privacy and Data Protection

Artist Music Network collects information from you for purposes of account registration, subscription billing, and communication regarding your account and Platform updates. The collection and use of your personal information is governed by our Privacy Policy, which is incorporated by reference into these Terms. By using the Platform, you consent to our collection and use of your information as described in the Privacy Policy.

15. Governing Law and Jurisdiction

15.1 Governing Law These Terms of Use and all matters relating to your access and use of the Website and Services shall be governed by and construed in accordance with the federal laws of the United States of America, without regard to its conflict of law principles. You consent to the exclusive jurisdiction of the federal and state courts located in the United States.

15.2 Dispute Resolution Before initiating legal action, you agree to attempt to resolve any dispute informally by contacting Artist Music Network support. If the dispute cannot be resolved informally within 30 days, you may pursue legal action in the federal or state courts as permitted by law.

16. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable by a court of competent jurisdiction, such provision shall be deemed severable from the remaining Terms and shall have no effect on the validity or enforceability of the remaining provisions, which shall remain in full force and effect.

17. Waiver of Rights

The failure of either party to insist on or enforce the strict performance of any obligation or right under these Terms, or the failure to exercise any right contained herein, will not be construed as a waiver or diminishment of such party’s right to assert or rely upon any such obligation or right in any other instance. All rights and remedies shall remain in full force and effect.

18. Entire Agreement

These Terms, together with the Privacy Policy and any other policies published on the Website, constitute the entire agreement between you and Artist Music Network regarding your use of the Platform and Services. These Terms supersede all prior or contemporaneous agreements, whether written or oral, relating to the Platform and Services.
